Nokia’s acquisition of Alcatel-Lucent (Nokia and Alcatel-Lucent Sign MOU) has been approved by the Committee on Foreign Investment in the United States (CFIUS). With the clearance from CFIUS and the Department of Justice (US DoJ Approves Nokia/Alcatel-Lucent Merger), the companies have received all of the regulatory approvals required for the transaction in the USA.
Nokia and Alcatel will continue to work with ‘the few remaining’ antitrust authorities in the relevant jurisdictions to conclude their regulatory reviews quickly. The deal must still be approved by Nokia’s shareholders; Nokia holding over 50% of Alcatel-Lucent on a fully diluted basis on completion of the offer; receipt of the remaining approvals; and other customary conditions. The transaction is expected to be closed on in the first half of 2016.
